Brief description

Rationale:
The module will enable students to study the legal issues involved in the negotiation of international contracts at a postgraduate level through the distance learning format. This will increase the availability and opportunity for studying this subject especially for a range of potential students already in employment in relevant areas of business. The module deals with an important aspect of commercial law which has significance to all engaged in business activity and in particular those involved in cross-border commerce.

Brief Description:
This module will provide an introduction to crucial issues relevant to negotiating international contracts. It will broadly introduce the background and context within which many international agreements are negotiated. The principal areas to be studied in depth include the law relating to: pre-contractual statements; agreements to negotiate; lock-out clauses; and rights and tenders. These will be examined from a common law perspective with reference to the general notion of negotiating contracts in 'good faith' as familiar to civilian jurisprudence.
