Learning Outcomes

On completion of this module, students should be able to:
1. Display a knowledge and understanding of the key issues in the international capital markets.
2. Display a knowledge and understanding of the legal issues and an awareness of the commercial context.
3. Critically evaluate the current judicial, legislative and regulatory approaches towards these transactions in the international financial markets.
4. Display an ability to access the relevant literature and materials in this field and how to use them in a critical discussion of the issues covered by this subject.
5. Present critical and well-informed argument regarding the ways in which these products operate with special focus on the legal and commercial issues.

Brief description

This module will provide an opportunity to examine the legal and commercial issues surrounding raising capital in the international financial markets. The module explores how companies raise finance by way of borrowing and also by the issue of bonds on the international markets. In particular the module focuses on the use of syndicated loans and the issue of international bonds.

Aims

An understanding of the way in which capital markets operate is vital to a complete study of the international business environment and the legal framework in which it functions. This module provides an opportunity to study how major companies raise money in the international financial markets. In particular it focuses on two forms of financing. First, it looks at loans and in particular the use of syndicated lending. Second, it looks at how bonds are used to raise finance in the international markets. As London has become the major international centre for this type of finance English law has become extremely relevant in relation to these products, even in an international context. There is growing international interest in studying this type of module which will focus on both the legal and commercial aspects of the financial markets.

Content

1. An introduction to the international financial markets including an examination of the type of products available, the legal and commercial issues which apply, a study of London as a major international centre and the reason for the dominance of English law in this market.
2. A detailed examination of international syndicated lending.
3. An examination of the issues relating to the raising of finance by way of international bonds.
4. A comparison of syndicated loans and international bonds as methods of raising finance.
5. An examination of case studies illustrating the issues raised in the module.

Communication	Written communication is developed by the presentation of information and argument in written answers and in a more informal way by the use of Blackboard to encourage communication among students and between students and staff. Oral communication skills are developed at the residential study schools. Only written skills assessed.

Team work	Team working skills will be encouraged and developed in group activities and discussions at the residential study schools.
